1. Acceptance of Terms

By accessing or using ImportUSA.net ("Platform"), operated by ImportUSA Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users, including buyers, suppliers, and service providers.

2. Description of Service

ImportUSA.net is a business-to-business (B2B) marketplace that connects international suppliers with buyers in the United States. Our services include supplier directories, product listings, request-for-quote (RFQ) management, messaging, service provider directories, and related trade facilitation tools.

3. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 18 years old and have authority to bind the business entity you represent.
• One person or entity may not maintain multiple accounts without prior written consent.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Responsibilities

As a user of the Platform, you agree to:

• Comply with all applicable local, state, national, and international laws and regulations, including U.S. import/export laws, customs regulations, and trade sanctions.
• Provide truthful and non-misleading information in your profile, product listings, and communications.
• Not use the Platform for any fraudulent, deceptive, or illegal purpose.
• Not interfere with or disrupt the Platform's infrastructure, security, or other users' experience.
• Not scrape, harvest, or collect data from the Platform without authorization.

5. Supplier Obligations

Suppliers listed on the Platform agree to:

• Ensure all product listings are accurate, including descriptions, pricing, MOQ, lead times, and certifications.
• Hold valid business licenses and certifications as represented on their profile.
• Respond to buyer inquiries and RFQs in a timely and professional manner.
• Fulfill orders in accordance with agreed-upon terms, specifications, and quality standards.
• Comply with all applicable product safety, labeling, and compliance requirements for the U.S. market.

6. Buyer Obligations

Buyers using the Platform agree to:

• Provide accurate purchasing requirements in RFQs and communications.
• Honor accepted quotes and purchase commitments made through the Platform.
• Comply with U.S. import regulations, customs duties, and applicable tariffs.
• Not use supplier information obtained through the Platform for unauthorized purposes.

7. Transactions Between Users

ImportUSA.net facilitates connections between buyers and suppliers but is not a party to any transaction between users. We do not guarantee the quality, safety, legality, or delivery of products or services. All transactions are conducted at the users' own risk. Any disputes arising from transactions must be resolved directly between the parties involved.

8. Verification Services

We may offer supplier verification services, including profile verification badges. Verification indicates that we have conducted certain checks on a supplier's business information. However, verification does not constitute a guarantee, endorsement, or warranty of any supplier's products, services, reliability, or business practices. Users should conduct their own due diligence.

9. Intellectual Property

• All Platform content, design, logos, and software are owned by ImportUSA Inc. or its licensors.
• Users retain ownership of content they upload but grant us a non-exclusive, worldwide license to display and distribute such content on the Platform.
• Users must not upload content that infringes on third-party intellectual property rights.

10. Limitation of Liability

To the maximum extent permitted by law, ImportUSA Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total liability for any claim shall not exceed the fees paid by you to ImportUSA in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

12. Indemnification

You agree to indemnify and hold harmless ImportUSA Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will remain in effect, including intellectual property, limitation of liability, and indemnification clauses.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
